Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ZuoJiaAgent (作家智能体) website at zuojiaagent.com and all related software, features and services (together, the "Service").

By creating an account, accessing the Service, or purchasing credits or a subscription, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. About the Service

ZuoJiaAgent is a cloud-based software service that assists writers in producing long-form creative and editorial content. The Service provides an AI-assisted writing environment in which users can plan plots, develop characters, draft and revise text, and organise writing projects.

The Service is delivered entirely online through a web browser. No software installation and no physical product are provided.

2. Eligibility and accounts

2.1 To use the Service you must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) and legally capable of entering into a binding agreement.

2.2 You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

2.3 You must provide accurate information when registering and keep it up to date. We may suspend or terminate accounts that contain false or misleading information.

2.4 You are responsible for ensuring that your use of the Service complies with all laws applicable to you.

3. Credits, subscriptions and fees

3.1 Free credits

New accounts receive a one-time allocation of 500,000 free credits for evaluation purposes. Free credits are non-transferable, have no cash value, and may be withdrawn or adjusted if we detect abuse.

3.2 Credit packs (one-off purchases)

Credit packs are one-time purchases that add a fixed number of credits to your account. Credit packs do not renew automatically, do not expire, and are not refundable once any portion of the credits has been consumed. Current prices are published on our Pricing page.

3.3 Subscriptions (recurring purchases)

Subscription plans provide a monthly credit allowance and renew automatically at the end of each billing period using the payment method on file, until cancelled. Subscription prices are published on our Pricing page.

Cancellation. You may cancel a subscription at any time from your account settings or by emailing support@zuojiaagent.com. Cancellation stops future renewals. Access already paid for continues until the end of the current billing period.

3.4 Price changes

We may change prices for future billing periods. For subscriptions, we will give reasonable advance notice before a price change takes effect. If you do not agree to a price change, you may cancel before the next renewal.

3.5 Currency and taxes

Prices are stated in US dollars (USD). Sales tax, VAT and other applicable taxes are calculated at checkout based on your billing country and are shown before you confirm payment.

4. Payments and Merchant of Record

Our order process is conducted by our online reseller Paddle.com Market Ltd. ("Paddle"), which acts as the Merchant of Record for all orders and is the seller of record for all transactions.

Paddle handles payment processing, billing, invoicing and global tax compliance on our behalf. Charges related to the Service will appear on your payment statement under Paddle's descriptor.

Your purchase is also subject to Paddle's checkout terms and privacy practices. Refunds are governed by our Refund Policy together with Paddle's applicable buyer terms.

5. Delivery

The Service is a digital product. Upon successful payment confirmation, credits or subscription access are applied to your account automatically, typically within 60 seconds. Delivery is made to the account you used to place the order.

If credits do not appear in your account within a reasonable time, contact support@zuojiaagent.com and we will resolve the issue.

6. Refunds and cancellation

Refunds are governed by our Refund Policy, which forms part of these Terms. In summary:

• Credit packs may be refunded if no credits have been consumed and the request is made within 14 days of purchase.
• Subscriptions may be cancelled at any time; cancellation stops future renewals, and normally no partial refund is issued for the current period.
• Refunds for purchases made through Paddle are processed via Paddle to the original payment method.

Nothing in this section limits any statutory consumer rights you may have under the law of your country of residence.

7. Your content and AI-generated output

7.1 You retain ownership of the text, outlines, notes and other materials you upload or create in the Service ("Your Content").

7.2 You grant us a limited licence to store, process and transmit Your Content solely to operate, provide and maintain the Service for you.

7.3 Subject to your compliance with these Terms, we do not claim ownership of the text generated for you by the Service. However, AI-generated output may not be unique and similar output may be generated for other users. You are responsible for reviewing generated output before relying on or publishing it, including checking accuracy and third-party rights.

7.4 You must not upload content that infringes the rights of others, is unlawful, or which you do not have permission to use.

8. Acceptable use

You agree not to use the Service to:

• violate any applicable law or regulation;
• infringe copyright, trademark, privacy or other rights of any third party;
• generate content that is unlawful, defamatory, harassing, hateful or that sexualises minors;
• create or distribute malware, conduct phishing, or engage in fraudulent activity, including spam and deceptive marketing;
• attempt to gain unauthorised access to the Service, other accounts, or our infrastructure;
• reverse engineer, scrape, resell or otherwise exploit the Service except as expressly permitted in writing;
• circumvent usage limits, credit accounting, or security measures, or share account credentials to avoid paying for credits.

We may suspend or terminate your account, and remove content, if we reasonably believe you have breached this section.

9. Availability and changes to the Service

We aim to keep the Service available but we do not guarantee uninterrupted or error-free operation. We may modify, suspend or discontinue parts of the Service, and may perform maintenance that temporarily affects availability.

10. Third-party services

The Service relies on third-party providers for functions such as payment processing, hosting, authentication and AI model inference. These providers may be located in jurisdictions other than yours. Their availability and performance may affect the Service. See our Privacy Policy for details of data processing.

11. Intellectual property

The Service itself — including its software, interface, design, branding, and documentation — is owned by us or our licensors and is protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable and revocable right to use the Service for your own personal or business writing purposes. No other rights are granted.

12. Disclaimer of warranties

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose, accuracy, and non-infringement.

We do not warrant that output generated by the Service is accurate, original, suitable for publication, or free from third-party rights. You are responsible for independently verifying any output before use.

13. Limitation of liability

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, data, goodwill or business opportunity, arising from or in connection with your use of the Service.

Our total aggregate liability arising out of or relating to the Service shall not exceed the greater of (a) the total amount you paid to us for the Service in the 12 months preceding the event giving rise to the claim, or (b) USD 50.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud.

14. Termination

14.1 You may stop using the Service and close your account at any time.

14.2 We may suspend or terminate your access if you materially breach these Terms, if required by law, or if we discontinue the Service. Where practical, we will give reasonable notice.

14.3 On termination, your right to use the Service ends. Sections concerning intellectual property, disclaimers, limitation of liability, and governing law survive termination.

15. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the current version. Material changes will be notified through the Service or by email where appropriate. Continued use of the Service after changes take effect constitutes acceptance.

16. Governing law

These Terms are governed by the laws of the People's Republic of China, without regard to conflict of law principles. Disputes shall be subject to the jurisdiction of the competent courts at the operator's place of residence.

If you are a consumer resident in another jurisdiction, you may also benefit from any mandatory consumer protections of your country of residence.
